These Terms and Conditions ("Terms") govern your access to and use of the Leagully platform and services ("Service") provided by Renard Technologies Private Limited ("Leagully", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with registered office in India. By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- "User" or "you" refers to any individual or entity accessing the Service.
- "Platform" means the Leagully web application, APIs, and associated tools.
- "Filing" means any MCA e-form or statutory document submitted or prepared via the Platform.
- "Subscription" means a paid plan granting access to Platform features.
2. Eligibility
You must be at least 18 years of age and legally authorised to represent the organisation on whose behalf you use the Service. By accepting these Terms, you represent and warrant that you have the authority to bind that organisation.
3. Nature of Service
Leagully is a technology platform that automates the preparation, validation, and submission of forms to the Ministry of Corporate Affairs (MCA) on behalf of users. Leagully is not a law firm and does not provide legal, accounting, or professional advisory services. Users remain solely responsible for the accuracy and completeness of information submitted through the Platform and for compliance with all applicable laws including the Companies Act 2013, the Limited Liability Partnership Act 2008, and rules issued thereunder.
4. Account Registration
You must register for an account to use the Service. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@leagully.com if you suspect any unauthorised use.
5. Subscription and Payment
Access to certain features requires a paid Subscription. Subscription fees are billed in advance on the plan cycle (monthly or annual). All fees are in Indian Rupees (INR) unless otherwise stated and are exclusive of GST, which will be charged at the applicable rate. Payments are processed through our authorised payment gateway. Failure to pay may result in suspension or termination of access.
6. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information to the MCA or any regulatory body through the Platform.
- Use the Platform to file on behalf of any entity for which you are not duly authorised.
- Reverse-engineer, decompile, or attempt to derive the source code of the Platform.
- Circumvent any access controls or security measures.
- Use the Platform in any manner that violates applicable law or third-party rights.
7. Intellectual Property
All content, software, design, trademarks, and data on the Platform are the exclusive property of Renard Technologies Private Limited or its licensors. No licence to any intellectual property is granted to you except the limited right to use the Service as described in these Terms. Government forms and statutory text are in the public domain; Leagully's processing logic, UI, and integrations are proprietary.
8. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection, processing, and use of your data as described in that Policy.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Leagully disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. MCA portal availability is outside our control; downtime of MCA systems is not our liability.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Renard Technologies Private Limited be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of these Terms shall not exceed the total fees paid by you to Leagully in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Renard Technologies Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We reserve the right to suspend or terminate your account at any time with or without notice if you breach these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.
13. Changes to Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and notify you by email or via the Platform. Continued use of the Service after any change constitutes your acceptance of the new Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India. Prior to initiating any legal proceedings, the parties agree to attempt good-faith resolution for a period of thirty (30) days.
